Following its announcement on 10/07/2018, DTCA HYGEIA SA (the Company) informs the investing community the conclusion of the sale of its entire stake (100%) in its subsidiary HYGEIA HOSPITAL TIRANA (HHT) to AMERICAN HOSPITAL SH.A (the Buyer), a company registered in Tirana, Albania.

The consideration for the Transaction amounts to 1 million euros approximately and has been calculated on a cash-free – debt-free basis at the time the Transaction was concluded.

Note that the Buyer assumes the liabilities of HHT amounting to 29.5 million euros in total (including the long-term borrowings of HHT, amounting to approximately 19 million euros, as well as liabilities to HYGEIA Group companies, amounting to approximately 2.5 million euros). The consideration shall be used in its entirety to reduce the Company’s bank borrowings.
